1. Agreement to Terms

By accessing or using Ekkleios ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Ekkleios is operated by Ekkleios, Inc., providing a comprehensive church management platform for religious organizations, ministries, and nonprofits.

2. Definitions

"Organization" or "Customer": The church, ministry, or nonprofit entity subscribing to the Service
"User": Any individual authorized by an Organization to access the Platform
"Donor": An individual making donations through the Platform
"Content": All data, text, images, and materials uploaded to the Platform
"Subscription": The paid plan selected by an Organization

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Authority

If you are using the Service on behalf of an Organization, you represent and warrant that you have the authority to bind that Organization to these Terms.

3.3 Permitted Use

The Service is intended for use by religious organizations, churches, ministries, and qualified nonprofit organizations. We reserve the right to refuse service to any organization that does not meet our eligibility criteria.

4. Account Registration

4.1 Account Creation

To use the Service, you must:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access or security breach

4.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to:

Use a strong, unique password
Not share your account credentials with others
Comply with all applicable laws and regulations
Accept responsibility for all activities conducted through your account

4.3 Organization Accounts

Each Organization receives a unique workspace with:

Custom organization slug/identifier
Role-based access control for team members
Isolated data storage (multi-tenant architecture)
Custom branding capabilities

5. Subscription Plans and Billing

5.1 Subscription Tiers

Ekkleios offers multiple subscription plans:

Starter Plan: $29/month - Up to 100 members
Growth Plan: $79/month - Up to 500 members
Pro Plan: $149/month - Unlimited members
Custom Enterprise: Contact for pricing

5.2 Free Trial

New customers receive a 14-day free trial with full access to their selected plan features. No credit card is required to start the trial.

5.3 Billing Terms

Subscriptions are billed monthly or annually in advance
All fees are in USD unless otherwise specified
Fees are non-refundable except as required by law or specified in our Refund Policy
You authorize us to charge your payment method on file for all applicable fees

5.4 Price Changes

We reserve the right to modify subscription pricing with 30 days' advance notice. Price changes will not affect your current billing cycle.

5.5 Payment Processing

Payments are processed securely through Stripe. We do not store your complete credit card information.

5.6 Failed Payments

If a payment fails:

We will attempt to charge your payment method up to 3 times
You will receive email notifications of failed payment attempts
Your account may be suspended after 7 days of non-payment
Your account may be terminated after 30 days of non-payment

6. Platform Fees for Donations

6.1 Donation Processing

Organizations using the donation/giving features agree to:

Connect their own Stripe account via Stripe Connect
Pay a platform fee of $0.99 per donation transaction
Pay standard Stripe processing fees (approximately 2.9% + $0.30 per transaction)

6.2 Fee Collection

Platform fees are automatically deducted from each donation transaction before funds are transferred to your Stripe account.

6.3 Donation Ownership

All donations belong to the receiving Organization. Ekkleios does not take ownership of or control donated funds beyond collecting the platform fee.

7. User Roles and Permissions

7.1 Role Types

The Platform supports the following roles:

Organization Admin: Full access to all features and settings
Finance Manager: Access to giving and financial features
Pastoral Staff: Access to people management and discipleship features
Follow-up Leader: Access to follow-up workflows and tasks
Volunteer: Limited access to assigned tasks only

7.2 Role Assignment

Organization Admins are responsible for:

Assigning appropriate roles to team members
Reviewing and updating user permissions regularly
Removing access for users who no longer require it

8. Acceptable Use

8.1 Permitted Uses

You may use the Service to:

Manage church members and contacts
Process donations and track giving
Track discipleship and spiritual growth
Facilitate community engagement
Create public-facing web pages and donation forms
Communicate with members and donors

8.2 Prohibited Uses

You may NOT use the Service to:

Violate any laws or regulations
Infringe on intellectual property rights
Transmit harmful, offensive, or illegal content
Harass, abuse, or harm others
Distribute spam or unsolicited communications
Attempt to gain unauthorized access to the Platform
Interfere with or disrupt the Service
Use the Platform for any non-religious or commercial purpose unrelated to ministry
Scrape, copy, or reverse engineer the Platform
Resell or redistribute the Service without authorization

8.3 Content Standards

All Content uploaded to the Platform must:

Comply with applicable laws
Not contain malware, viruses, or harmful code
Not violate third-party rights
Be appropriate for a religious/ministry context
Not contain hate speech, discrimination, or illegal content

9. Intellectual Property

9.1 Platform Ownership

Ekkleios and its original content, features, and functionality are owned by Ekkleios, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Your Content

You retain all rights to Content you upload to the Platform. By uploading Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

Store, process, and display your Content as necessary to provide the Service
Create backups and ensure data redundancy
Perform analytics to improve the Service (in aggregated, anonymized form only)

9.3 Trademarks

"Ekkleios" and associated logos are trademarks of Ekkleios, Inc. You may not use our trademarks without prior written permission.

9.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

10. Data Privacy and Security

10.1 Privacy Policy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data Security

We implement industry-standard security measures including:

Bank-level 256-bit SSL encryption
Firebase Authentication and Firestore security rules
Role-based access control
Regular security audits
Automated backups

10.3 Data Ownership

You own all data you input into the Platform. We are merely a data processor acting on your behalf.

10.4 Data Portability

You may export your data at any time in standard formats (CSV, JSON, PDF).

10.5 GDPR and CCPA Compliance

We comply with GDPR (General Data Protection Regulation) and CCPA (California Consumer Privacy Act). See our Privacy Policy and Data Processing Agreement for details.

11. Service Availability and Support

11.1 Service Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

11.2 Support

Support is provided based on your subscription tier:

Starter: Email support (48-hour response time)
Growth: Email support (24-hour response time)
Pro: Priority email support (12-hour response time)
Enterprise: Dedicated support with custom SLA

11.3 Service Modifications

We reserve the right to:

Modify or discontinue features with reasonable notice
Perform maintenance and updates
Improve and enhance the Service

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account if:

You violate these Terms
Your payment fails and remains unpaid for 30 days
You engage in fraudulent or illegal activity
We are required to do so by law

12.3 Effect of Termination

Upon termination:

Your access to the Platform will be revoked
You will have 30 days to export your data
After 30 days, your data may be permanently deleted
No refunds will be issued for partial billing periods (except as required by law)

12.4 Survival

Sections that by their nature should survive termination will survive, including: Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution.

13. Limitation of Liability

13.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EKKLEIOS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Business interruption
Any damages exceeding the amount you paid us in the 12 months preceding the claim

13.3 Exceptions

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13.4 Third-Party Services

We are not responsible for third-party services (Stripe, Firebase, SendGrid, etc.) or their availability, security, or performance.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ekkleios, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Content you upload to the Platform
Your organization's use of donation funds

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that:

You may bring claims in small claims court if they qualify
Either party may seek injunctive relief in court for intellectual property violations

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

15.4 Venue

If arbitration does not apply, exclusive jurisdiction is in the state and federal courts located in Delaware.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Ekkleios.

16.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service after changes constitutes acceptance of the new Terms. Material changes will be communicated via email.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.7 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Ekkleios.

16.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations.

18. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
